Sign-On Bonus Agreement

I understand that my entitlement to receive a Sign-On Bonus from GovC in the gross amount of $_______ is based on my execution of this Agreement. I also understand that GovC considers this Sign-On Bonus to be a form of compensation that I will earn over the course of the first (1st) full year of my employment. Accordingly, I understand that if my employment with GovC is terminated for cause (my own misconduct or failure to perform the duties of my position) or voluntary termination (my resignation) before the first (1st) anniversary of my start date with GovC, I will become responsible for promptly repaying the bonus in its entirety back to GovC (my “Repayment Obligation”).

In the event that my employment is terminated for cause or voluntarily terminated, I hereby authorize GovC to withhold from any compensation due to me an amount equal to my Repayment Obligation. I understand and hereby promise that if the remaining compensation is insufficient to satisfy the full amount of my Repayment Obligation, I will repay the remaining balance in full to GovC on or before the date of my out-processing with GovC. Notwithstanding anything to the contrary stated herein, I understand that if my employment with GovC is terminated before the first (1st) anniversary of my employment with GovC based on the elimination of my position (lay-off) at GovC, I will have no Repayment Obligation.
